Theo c\u00e1c chuy\u00ean gia, trong b\u1ed1i c\u1ea3nh DN trong n\u01b0\u1edbc c\u00f2n ch\u01b0a h\u1ebft kh\u00f3 kh\u0103n, tri\u1ec3n v\u1ecdng kinh doanh l\u1ea1i \u0111ang s\u00e1ng d\u1ea7n, th\u1ecb tr\u01b0\u1eddng M&amp;A trong t\u01b0\u01a1ng lai ch\u1eafc ch\u1eafn s\u1ebd ti\u1ebfp t\u1ee5c s\u00f4i \u0111\u1ed9ng, b\u1edfi n\u00f3 \u0111\u00e1p \u1ee9ng nhu c\u1ea7u b\u00e1n c\u1ee7a nhi\u1ec1u DN, \u0111\u1ed3ng th\u1eddi t\u1ea1o l\u1ee3i th\u1ebf l\u1edbn cho ph\u00eda mua.<\/p>\n<p>Tuy nhi\u00ean, theo Lu\u1eadt s\u01b0 Tr\u01b0\u01a1ng Anh T\u00fa (\u0110o\u00e0n Lu\u1eadt s\u01b0 H\u00e0 N\u1ed9i), nh\u00ecn chung ho\u1ea1t \u0111\u1ed9ng M&amp;A \u1edf Vi\u1ec7t Nam v\u1eabn \u0111ang g\u1eb7p nhi\u1ec1u kh\u00f3 kh\u0103n do thi\u1ebfu c\u01a1 s\u1edf ph\u00e1p lu\u1eadt v\u00e0 h\u1ea1n ch\u1ebf v\u1ec1 kinh nghi\u1ec7m trong ho\u1ea1t \u0111\u1ed9ng M&amp;A.<\/p>\n<p>Lu\u1eadt s\u01b0 Tr\u01b0\u01a1ng Thanh \u0110\u1ee9c ph\u00e2n t\u00edch, ho\u1ea1t \u0111\u1ed9ng M&amp;A theo quy \u0111\u1ecbnh c\u1ee7a ph\u00e1p lu\u1eadt hi\u1ec7n bao g\u1ed3m 2 nh\u00f3m: Th\u1ee9 nh\u1ea5t l\u00e0 vi\u1ec7c mua b\u00e1n, s\u00e1p nh\u1eadp DN theo \u0111\u00fang ngh\u0129a l\u00e0 chuy\u1ec3n giao ch\u1ee7 s\u1edf h\u1eefu, thay \u0111\u1ed5i c\u01a1 b\u1ea3n DN, c\u00f3 s\u1ef1 c\u1ea3i t\u1ed5 r\u1ea5t l\u1edbn; hay vi\u1ec7c mua b\u00e1n s\u1ed1 c\u1ed5 ph\u1ea7n, c\u1ed5 phi\u1ebfu, ph\u1ea7n v\u1ed1n g\u00f3p \u0111\u1ebfn m\u1ee9c c\u00f3 th\u1ec3 chi ph\u1ed1i \u0111\u01b0\u1ee3c ho\u1ea1t \u0111\u1ed9ng c\u1ee7a DN. Th\u1ee9 hai l\u00e0 vi\u1ec7c ch\u1ec9 mua b\u00e1n m\u1ed9t s\u1ed1 c\u1ed5 ph\u1ea7n, c\u1ed5 phi\u1ebfu kh\u00f4ng \u0111\u1ebfn m\u1ee9c chi ph\u1ed1i, th\u01b0\u1eddng l\u00e0 d\u01b0\u1edbi 30% v\u1ed1n \u0111i\u1ec1u l\u1ec7.<\/p>\n<p>Tuy nhi\u00ean, theo \u00f4ng \u0110\u1ee9c, khung ph\u00e1p l\u00fd trong M&amp;A hi\u1ec7n nay ch\u01b0a th\u1eadt c\u1ee5 th\u1ec3, r\u00f5 r\u00e0ng, m\u00e0 \u0111\u01b0\u1ee3c quy \u0111\u1ecbnh t\u1ea3n m\u1ea1n, chung chung trong nhi\u1ec1u v\u0103n b\u1ea3n quy ph\u1ea1m ph\u00e1p lu\u1eadt. Nh\u01b0ng vi\u1ec7c mua b\u00e1n DN th\u00ec l\u1ea1i kh\u00f4ng c\u00f3 quy \u0111\u1ecbnh ho\u1eb7c ch\u1ec9 \u0111\u01b0\u1ee3c nh\u1eafc \u0111\u1ebfn m\u1ed9t c\u00e1ch r\u1ea5t s\u01a1 s\u00e0i.<\/p>\n<p>B\u1ed9 lu\u1eadt D\u00e2n s\u1ef1 v\u00e0 Lu\u1eadt Ch\u1ee9ng kho\u00e1n kh\u00f4ng c\u00f3 quy \u0111\u1ecbnh v\u1ec1 vi\u1ec7c mua l\u1ea1i DN hay ph\u00e1p nh\u00e2n; Lu\u1eadt C\u1ea1nh tranh th\u00ec c\u00f3 \u0111\u1ec1 c\u1eadp \u0111\u1ebfn vi\u1ec7c \u201cmua l\u1ea1i DN\u201d; Lu\u1eadt \u0110\u1ea7u t\u01b0 th\u00ec c\u00f3 nh\u1eafc \u0111\u1ebfn vi\u1ec7c cho ph\u00e9p nh\u00e0 \u0111\u1ea7u t\u01b0 \u201cmua l\u1ea1i c\u00f4ng ty, chi nh\u00e1nh\u201d.
