VCCI comment on draft regulating corporate bonds<\/span><\/h4>\n

H\u00c0 N\u1ed8I \u2014 In response to lawmakers’ invitation to comment, the Vietnam Chamber\u00a0of Commerce and Industry (VCCI) has recently presented its views and suggestions to the draft amending Decree\u00a0No 65 on corporate bonds.<\/h5>\n

VCCI said that the draft is well formulated, successfully repairing the cracks that had appeared\u00a0in Decree No 153. More importantly, it helps\u00a0mitigate the problem of information asymmetry\u00a0between bondholders and issuers.<\/p>\n

But the good news goes only so far. VCCI said the draft gives\u00a0little time for stakeholders to prepare for the big changes that it is going to bring about. With such a short window, they\u00a0would be struggling to adapt to the new legal document.<\/p>\n

VCCI took\u00a0credit rating\u00a0as an example, which would\u00a0be mandatory for bond issuers\u00a0on January 1, 2023. VCCI said the date is too tight for credit rating agencies\u00a0to service a\u00a0large number of clients\u00a0that would flock to them by the deadline.<\/p>\n

“It is not easy\u00a0to make credit rating\u00a0compulsory for bond issuers, given that there are just a few credit rating agencies in the country,” said VCCI.<\/p>\n

VCCI also said\u00a0the proposal to push the date back to January 1, 2024, would make no difference to the situation because\u00a0bond issuers are likely to leave their application for credit rating\u00a0to the last minute.<\/p>\n

To prevent the bottleneck, VCCI suggested certain bond issuers be picked out and assessed for creditworthiness in 2023. Once the issuers are assigned credit scores, the authorities then proceed to make credit rating obligatory for all bond issuers in 2024.<\/p>\n

VCCI also called on commercial banks to ensure that bondholders are fully aware of the financial risks\u00a0associated with corporate bonds when they purchase\u00a0the bonds\u00a0via banking channels.<\/p>\n

Tr\u01b0\u01a1ng Thanh \u0110\u1ee9c<\/span><\/a>, director of the Law Firm<\/a>\u00a0ANVI<\/a><\/strong>, stressed the importance of mandatory credit rating for bond issuers and reckoned that the credit rating market would need\u00a0a couple of years to take hold.<\/em><\/p>\n

“If credit rating wasn’t\u00a0made mandatory for bond issuers\u00a0just because of few\u00a0credit rating agencies, then the corporate bond market\u00a0would not make any progress in the next 20 years,” said \u0110\u1ee9c.\u00a0<\/em><\/p>\n

A recent report\u00a0by the Vietnam Bond Market Association shows that total corporate bonds issued\u00a0via public offerings in the first 11 months of 2022 dropped by 60 per cent compared to the same period last year.<\/p>\n

Meanwhile, corporate bonds issued via private placement witnessed a drop of 56 per cent. Remarkably,\u00a0bond issuers bought back roughly VN\u0110164 trillion worth of bonds during the period, up 32 per cent year-on-year.<\/p>\n
